James D. Rosener is a partner in the Commercial Practice Department of Pepper Hamilton LLP resident in the Great Valley office. He is also a member of the Firm's Executive Committee, and Chair of the International Practice Group. His practice is devoted primarily to the areas of international transactions, mergers and acquisitions, the licensing and acquisition of intellectual property, and corporate financing
Mr. Rosener has represented U.S.-based companies in merger and acquisitions as well as financing and licensing transactions throughout the European Union, Latin America, and in Switzerland and Australia, as well as several European, South American, and Japanese companies in transactions with U.S. companies. Also, Mr. Rosener represents several U.S. and foreign private equity funds as well as publicly and privately-held corporations in mergers, acquisitions, spin-offs and sale transactions. In addition, he has structured and negotiated numerous joint ventures and corporate partnering arrangements between small and medium sized U.S.-based companies and large domestic and foreign corporations. He has also represented many management-led groups in the acquisition of businesses from divesting corporations. Within the corporate financing practice area, Mr. Rosener has represented a number of issuers in venture and mezzanine capital raising and traditional bank financing transactions as well as structured financing, including aircraft leasing. In addition, he has represented numerous entities in debt restructuring, recapitalization, and work-out plans.
Mr. Rosener holds B.S., M.B.A., and J.D. degrees. He is a member of the Bars of Pennsylvania and New Jersey and is also is admitted to the U.S. District Courts for the Eastern District of Pennsylvania and the District of New Jersey, and to the U.S. Court of Appeals for the Third Circuit. He lectures frequently on business topics and issues.
