Yves Quintin practices in the areas of corporate law, mergers and acquisitions, contracts, project finance and international transactions. He has counseled clients, both domestic and foreign, in acquisitions and divestitures, loan transactions, swaps, corporate finance and commercial matters.

 

Admitted to practice in New York and Paris, he formerly served as a legal and economic advisor in the Cabinet of the Governor of French Guiana. Mr. Quintin is the former chair of the International Law Committee of the Philadelphia Bar Association and the International Law Committee of the Young Lawyers Division of the American Bar Association. Fluent in French and German, he has authored numerous articles, published in English and French, on various aspects of international transactions, and has also lectured in the United States and abroad on mergers and acquisitions and related matters.

 

His book on M&A, Les Fusions-Acquisitions aux USA, was published by Les Editions Bruylant (Brussels) and Yvon Blais (Québec) in September 2005. Mr. Quintin lectures in business law at the University of Pennsylvania Law School.

Mr. Quintin is a graduate of the University of Michigan Law School (LL.M.), the University of Paris-IX-Dauphine (D.E.A.), the University of Paris-V (LL.B.), l’École Supérieure de Commerce de Paris (M.B.A.) and Lycée Louis Le Grand (Paris).

Representative Matters

 

  • $1 billion and $650 million sales of companies in the water industry and related worldwide reorganization of seller.

  • $200 million redemption of stock and corporate reorganization of holding company of major publicly held media company.

  • Numerous acquisitions and divestitures of companies in various industries (e.g. software, interactive voice response, surface protection, pharmaceuticals, water, minerals, music) on behalf of U.S. and foreign clients.

  • Cross-border transactions, including a $100 million investment in an Irish company, the acquisition or divestiture of interests in Chinese, Canadian, French, German and Hungarian companies, the restructuring of the debt ($4.7 billion) of an Irish-based aircraft lessor and concomitant purchase of convertible notes issued by that company and the subsequent successful divestiture of all investments in the company.

  • Representation of lenders and borrowers in loan transactions, such as a $2 billion line of credit, a $1.5 billion line of credit, an $85 million facility secured by stock, a $110 million cross-border loan facility for a French company, and secured loans to a start up telecommunications company laying fiber optic cable.

  • $245 million project financing involving aircraft and a data-processing facility.

  • $107 million extension of letter of credit supporting waste-to-energy project owned by a French company.

  • $130 million refinancing of waste-to-energy plant owned by a French company.

  • Leveraged leases of aircraft and other equipment.

  • Representation of public and private pension plans in connection with various private equity investments.

  • Swap transactions under International Swaps and Derivatives Association (ISDA) documents, involving interest rate swaps, swaptions, equity based indices and currency swaps.
